Due Diligence

Regulatory Due Diligence

When viewing a telecommunications network or service provider as a potential acquisition or investment opportunity, it is vital to understand the regulatory obligations that will be placed on the entity, its ability to comply with them, the current implications of such obligations, and the likely impact on future growth and profits.
InterConnect Communications’ telecommunications regulatory expertise covers not only the regulatory environment itself but also the impact that this has on operating companies. We are, therefore, able to assist with a variety of regulatory due diligence tasks, including:
  • Establishing the status, functions, duties and powers of the regulator (and any other relevant governing authorities);
  • Identifying licence obligations;
  • Evaluating the impact of regulatory controls e.g.
    • Number portability and carrier pre-selection;
    • Rights of way and facility-sharing obligations;
    • Unbundled local loops;
    • Universal service obligations;
  • Identifying interconnection and tariff constraints;
  • Reviewing the potential impact of competition legislation (e.g. dominance and/or significant market power, possible controls on ownership or future mergers/acquisitions);
  • Evaluating the operator’s relationship with the regulator and determining how well it is complying with regulatory requirements;
  • Establishing the legal and regulatory requirements for the privatisation of incumbent operators and other state-owned entities.
