Due Diligence

Organisations looking to acquire or invest in a telecommunications network or service provider need to understand the commercial, regulatory and technical environment of the entity in question. Investors are likely to want to know:
  • Can the vendor’s claims for the business be substantiated?
  • How easily will the business continue to comply with regulatory norms? Are regulatory changes likely to affect its operations?
  • How viable is the operator’s existing business plan and how well will it fit with the investors’ plans and objectives?
  • How are the business’ key markets and competitors likely to develop and what are the main opportunities and challenges facing the business?
  • What is the technical status of the operator’s network and connected assets?
InterConnect Communications can provide both potential investors and their professional advisors with a number of due diligence services to help answer these questions and allow informed decisions to be made. Our knowledge and experience covers a wide range of commercial, regulatory and technical aspects, allowing us to deliver incisive yet impartial advice. Previous assignments have included:
  • Providing appropriate commercial, regulatory and technical due diligence on behalf of an international consortium planning to invest in a leading European fixed-line operator and its mobile subsidiary;
  • Providing appropriate technical and regulatory due diligence on behalf of an international consortium planning to invest in a regional fixed-line operator;
  • Undertaking a technical due diligence exercise on mobile telephony networks, consisting of documenting the current and planned network and systems, commenting on their adequacy based upon the assumed growth plans, giving an opinion based upon internationally recognised benchmarks, and detailing areas of potential risk;
  • Undertaking regulatory due diligence of fixed networks in Southern Europe to advise on the impact of the regulatory regime on the operation of the business and hence on the plans of the investor.
  • Undertaking a technical audit of fixed and mobile networks to assist a Gulf States regulator in the development and implementation of its new regulatory regime.
In the case of privatisations, we can offer support to both governments looking to prepare incumbent operators and regulatory regimes for this process, and to the privatised companies themselves and their new owners in helping adjust to their new status and maintain operational effectiveness.
